Official Contest Rules

NO PURCHASE NECESSARY IN ORDER TO WIN

1. How to enter

You may enter the "Contest", as follows:

(a) by completing the survey relating to your shopping experience with respect to a merchant partner of PriceGrabber.com (the "Survey"). You will be asked to complete the survey upon the purchase of a product or products on the Merchant web site. We will ask you to confirm your e-mail address once you have submitted the Survey to PriceGrabber.com. You will only be entered in the Contest and be eligible to win once you have submitted the Survey, providing responses to all questions indicated as requiring your response and confirmed your e-mail address. Incomplete entries/Surveys are void, and will not be eligible to win any prize. The completed Survey must be received during the Promotional Period indicated below in order to qualify for the Contest. All Surveys will become the property of PriceGrabber.com, and will not be returned. Your completed Survey may be summarized by PriceGrabber.com and provided to various merchants;

2. Promotional period

The "Promotional Period" for the Contest runs from Wed. 10/12 - Wed. 1/2/2006. There will be one (1) drawings for prizes ("Drawings") during the current Promotional Period (see below). PriceGrabber.com may extend the Promotional Period, and this section of the Official Contest Rules will be amended to indicate the new Promotional Period in such an event.

3. Drawing and award of prizes

One (1) random drawing will be conducted during the Promotional Period to select prizewinners. The winner of the drawing will be selected from among the pool of entrants whose Survey (with e-mail) and/or Newsletter Registration was /were received by PriceGrabber.com during the contest drawing period. The drawings will take place by the 3rd day of each month from November 2005, and the winner will be contacted via email. Prizewinners will receive a "Prize Notification" in accordance with the procedures set forth in the Prize Notification section below. Entrants who submit the Surveys (with e-mails) and/or Newsletter Registration that are received by PriceGrabber.com during one Drawing Period will not be eligible for any subsequent Drawings. Additional Drawing Periods will be added in the event that the Promotional Period is extended in accordance with Section 2 of the Official Contest Rules, above. These Official Contest Rules are subject to change prior to the start of a Drawing Period with respect to such Drawing Period and future Drawing Periods within the Promotional Period. You should review the Official Contest Rules for the Drawing Period in which you have entered the Contest.

4. Prizes and odds of winning

Each prizewinner will receive an Apple iPod nano 4GB MP3 Player. One Apple ipod nano 4GB MP3 Players will be awarded over the course of the Contest. The approximate retail value of each prize is $250.

No substitutions, cash equivalents or transfer of prizes is permitted, except at the sole discretion of PriceGrabber.com, which reserves the right to substitute a prize of equal or greater value without notice to prizewinners in the event that the offered prize is unavailable for any reason.

Prizewinners are responsible for payment of all taxes on the prize (excepting state sales tax, which will be paid by PriceGrabber.com) and for any other expenses associated with the awarded prize that are not specifically described herein.

The odds of winning a prize will depend on the total number of completed Surveys and Newsletter Registrations received by PriceGrabber.com, and may vary for each drawing period.

5. Eligibility

The Contest is offered only in the United States and its territories and possessions to legal United States residents at least 18 years of age. Residents of Canada are specifically excluded from eligibility. Employees of PriceGrabber.com or their respective affiliates, subsidiaries, legal or financial advisors and their immediate family members are not eligible to enter the Contest. Prizewinners will be required to submit an Affidavit of Eligibility/Liability Release and, where legal, a Publicity Release, which must be properly executed and returned to PriceGrabber.com within fourteen (14) days of issuance of Prize Notification by PriceGrabber.com. If these documents are not properly completed and returned to PriceGrabber.com within this time period, or if the Prize Notification is returned as undeliverable, the awarded prize will be forfeited and awarded to an alternate prizewinner. An individual may win no more than one (1) prize during the Contest.

In order to claim their prize, prizewinners may be required to provide picture identification to PriceGrabber.com, which may include a driver's license, passport, voting card or other similar government-issued identification, in order to verify the prizewinner's eligibility for each drawing.

No purchase or other consideration is required to enter the Contest and to win a prize.

6. Prize Notification

Prizewinners will be notified by email of their awards via a Prize Notification from PriceGrabber.com within ten (10) days of the relevant Drawing Period.

7. Prize Winners' list

The names of the prizewinners will be posted on the PriceGrabber Website, http://www.pricegrabber.com, within fourteen (14) days after the close of the Promotional Period. A list of prizewinners may also be obtained by sending a self-addressed, stamped envelope to:

8. General conditions/ Void where prohibited

Entrants agree to abide by the terms of these Official Contest Rules, which are final on all matters pertaining to the Contest. The Contest is governed by the laws of the United States and applicable state laws. If the laws of your state prohibit participation in this Contest, your entry will be deemed disqualified.

9. Limitations of liability

By participating in the Contest, entrants agree that PriceGrabber.com (and its affiliates and subsidiaries), and its agents, directors, representatives and employees will have no liability whatsoever for any injury, losses or damages of any kind resulting from participation in the Contest or acceptance, possession or use of any prize that may be awarded. PriceGrabber.com is not responsible for printing or typographical information in any Contest-related materials or for stolen, lost, late, misdirected, damaged, incomplete or illegible entries, for postage-due mail or lost, late, misdirected or technically-compromised Prize Notifications which fail to reach entrants.

If PriceGrabber.com determines, in its sole discretion, that there is any suspected or actual tampering with the Contest, or if technical difficulties compromise the integrity of the Contest, PriceGrabber.com, in its sole discretion, reserves the right to void any entry submitted fraudulently or to cancel or modify the Contest without prior notice to entrants. Any deliberate attempt by an entrant or any other individual to damage any web site or undermine the legitimate operation of the Contest is a violation of criminal and civil laws and, should such an attempt be made, PriceGrabber.com reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.

PriceGrabber.com including its affiliates, subsidiaries, advertising and promotion agencies, and Internet access providers are not responsible for incorrect entry of information by entrants, or for technical malfunctions of any telephone network, computer equipment, software or any combination thereof, entry materials that have been tampered with, human error, lost/delayed data transmission, or transactions that are processed late or incorrectly or are lost due to computer or electronic or mechanical malfunction.
